LEAD BANK CONSUMER PREPAID ACCOUNTHOLDER AGREEMENT
This Lead Bank Consumer Prepaid Accountholder Agreement (“Agreement”) contains the terms and conditions that apply to the Anytime Capital account (your “Account”) established for you by Lead Bank, a Missouri state-chartered bank (“Lead Bank,” “Bank,” “we,” “us,” or “our”). Your Account is a “prepaid account” subject to the Regulation E Prepaid Account Rule (12 C.F.R. §§ 1005.2(b)(3), 1005.18, 1005.19 and Appendix A) (the “Prepaid Rule”).
Your Account does not require a card. You may, but are not required to, request an Anytime Capital Visa/Maestro debit card (a “Card”) that provides access to your Account. If you request a Card, the Card is governed by a separate Lead Bank Consumer Prepaid Cardholder Agreement — Supplement to Accountholder Agreement (the “Card Supplement”), which you must separately review and affirmatively accept. You are not required to obtain a Card in order to open or use your Account, and declining a Card will not affect your Account.
Anytime Capital LLC (“Platform Provider” or “Platform”) has engaged Lightspark Group, Inc. (“LSG”) and the affiliates of LSG (collectively, “Lightspark” or “Program Manager”) to facilitate its offering of the Account to you. Platform Provider enables you to apply for, access, and manage the Account. For customer service, contact Program Manager at 855-516-0103 or support@lightsparkpayments.com.
Program Manager is responsible for performing certain Account-related functions on Bank’s behalf, including customer service, pursuant to an agreement between Program Manager and Bank. Any sale or purchase of Stablecoins described in Sections 4 and 5 below is performed by Lightspark Payments, LLC (“LSP”), a wholly owned subsidiary of LSG, in its capacity as a licensed money transmitter. Spark Protocol, LLC (“Spark Protocol”), a wholly owned subsidiary of LSG, develops and operates the non-custodial digital wallet in which you hold your Stablecoin balance (your “Wallet”). Neither Bank nor Platform Provider operates the Wallet or the blockchain network(s) on which the Wallet operates. For purposes of this Agreement, each of LSP and Spark Protocol are included within the defined term “Program Manager.”
Program Manager may engage third-party service providers, including the Platform, to perform certain of the other Account-related functions for which Program Manager is responsible.
The “Program” means the arrangement among Bank, Program Manager, and Platform Provider under which the Account, and any Card, are offered to you.
“You” and “your” mean the person who has applied for and been approved for the Account. “We,” “us,” “our,” and “Bank” mean Lead Bank. Program Manager and Platform Provider are separate parties; references to “we,” “us,” “our,” or “Bank” do not include Program Manager or Platform Provider. Each party’s role is described in this Agreement: (i) Bank holds your Account; (ii) Program Manager (Lightspark) performs certain Account-related functions on Bank’s behalf and, through LSP, conducts Stablecoin Sales and Stablecoin Purchases, and, through Spark Protocol, operates the software for your Wallet; and (iii) Platform Provider operates the customer-facing application through which you apply for, access, and manage your Account.
By applying for and/or using the Account, you agree to be bound by this Agreement, which also incorporates Bank’s Privacy Policy and E-SIGN Terms.
Other Agreements That Apply to You. In addition to this Agreement, you may be bound by (a) end-user terms between you and LSP, available at lightspark.com/legal/grid/enduserterms (the “Grid Terms”), and (b) a separate Terms of Service between you and Platform Provider (the “Platform Terms”). This Agreement, together with the Card Supplement (if you accept it) and Exhibits A through D are referred to as the “Bank Agreements.” These are separate agreements with separate parties. Section 22.10 explains which agreement governs which subject, and what happens if they disagree. Please read it — it affects your rights, including where and how a dispute is resolved. This Agreement supersedes any prior agreement or terms between you and Bank with respect to the Account. It does not amend, and Bank has no authority to amend, the Grid Terms or the Platform Terms.
Section 1 — Eligibility
1.1 To be eligible for an Account, you must be an individual person that is a United States resident, the age of majority in your state of residence, and capable of entering into a legally binding agreement.
1.2 Before loading funds into or using your Account, you must be an approved customer of both Program Manager and Platform Provider, including completing identity verification and agreeing to their respective terms of service.
1.3 You may hold only one Account under the Program at a time unless we expressly permit otherwise.
Section 2 — Identity Verification Disclosure
2.1 To help the federal government fight the funding of terrorism and money laundering, the USA PATRIOT Act requires us to obtain, verify, and record information that identifies each person who opens an Account. We will ask for your name, address, date of birth, and government ID number, and may ask to see your driver’s license or other identifying documents at any time. If we ask for specific identifying documents and they are not provided, we may immediately close or suspend your Account.
2.2 Certain protections described in Section 12 do not apply until we have successfully completed identity verification. See Section 12.4.
Section 3 — Your Account
3.1 Your Account is a prepaid account held directly with Lead Bank in Fiat Currency (as defined below), which reflects your balance and all transactions associated with your Account. Your Account is a “prepaid account” and is subject to the Prepaid Rule. You acknowledge and agree that: (i) the value available in your Account is limited to the Fiat Currency funds credited to it; (ii) your Account does not have an expiration date; (iii) your Account is not a gift card or gift account; and (iv) your Account is not a credit account and does not provide a credit feature or the ability to access credit.
3.2 “Fiat Currency” is government-issued currency, including U.S. Dollars. “Stablecoin” is a type of cryptographic digital asset that can be redeemed at face value for Fiat Currency. YOUR ACCOUNT ONLY HOLDS FIAT CURRENCY AND DOES NOT HOLD ANY STABLECOINS, CRYPTOCURRENCY, VIRTUAL CURRENCY, DIGITAL ASSET, OR OTHER DIGITAL TOKEN. Bank has no relationship with, and assumes no responsibility for, the Wallet (which holds your Stablecoin balance), the blockchain network(s) on which the Wallet operates, or the issuer of any Stablecoin.
3.3 Fiat Currency Balance; FDIC Insurance. The Fiat Currency balance in your Account is held by Bank. At this time, your Account balance is not eligible for FDIC pass-through deposit insurance, and you should not rely on FDIC insurance with respect to your Account balance. You will not receive interest on the funds in your Account.
3.4 Stablecoin Balance. Your Stablecoin balance is held in your Wallet, is separate from your Account, and is not held by Bank. Any Stablecoin balance held in your Wallet is not a deposit or other obligation of, and is not guaranteed by, Bank or any other bank; is not insured by the FDIC or any other governmental agency; and is subject to risk, including possible loss of value. Stablecoin activity is governed by the Grid Terms and, as applicable, your separate arrangements regarding the Wallet.
3.5 Personal Use Only. Your Account may only be used for personal, family, or household purposes. If we determine your Account is being used for business purposes, we may close it. Business accountholders are governed by a separate Business Accountholder Agreement, and not this Agreement.
3.6 Optional Card. You may request a Card at any time through Platform Provider. A Card is an access device that permits you to initiate transactions drawing on your Account balance and, where enabled, on your Wallet. Issuance and use of a Card is governed by the Card Supplement, which you must separately accept. Declining, cancelling, or never requesting a Card does not affect the terms of this Agreement or your ability to use your Account for the transactions described in Sections 4 and 5.
3.7 Fee Disclosures. The short-form disclosure is presented to you, and the long-form disclosure is made available to you, before you open your Account. We retain a record of the version presented and the date and time of presentation. You may download, print, or save both disclosures at any time from the Anytime Capital app.
The short-form disclosure appears at the beginning of this Agreement and is also provided to you separately before acquisition. The long-form disclosure is attached as Exhibit A. Both are part of this Agreement. Section 9 describes how fees are allocated among Bank, Program Manager, and Platform Provider; Exhibit A states the fees themselves. If Section 9 and Exhibit A differ, the provision more favorable to you controls.
Section 4 — Funding Your Account
4.1 Funding Methods. You may fund your Account by:
(a) Wire transfer to your Account;
(b) ACH transfer initiated by you or by a third party you authorize;
(c) FedNow or other instant payment network transfer;
(d) Direct deposit, including payroll and government benefit payments; and
(e) Stablecoin Sale, as described in Section 4.2.
4.2 Stablecoin Sales. You may instruct LSP to sell Stablecoins from your Wallet and credit the Fiat Currency proceeds to your Account (a “Stablecoin Sale”). Initiating a Stablecoin Sale authorizes LSP to (i) sell Stablecoins from your Wallet in the amount you specify or in an amount sufficient to produce the Fiat Currency amount you specify, and (ii) credit the Fiat Currency proceeds to your Account.
4.3 Stablecoin Sale Disclaimer. Bank is not involved in the movement, custody, purchase, or sale of any Stablecoin. Bank does not guarantee the price of any Stablecoin. Stablecoin Sales are conducted by LSP and are governed by separate terms between you and LSP. YOU ACKNOWLEDGE THAT STABLECOIN VALUES CAN DEVIATE FROM THEIR INTENDED PEG AND THAT NEITHER BANK NOR PROGRAM MANAGER GUARANTEES ANY PARTICULAR VALUE OR CONVERSION RATE.
A Stablecoin Sale may fail or be delayed for reasons including insufficient Wallet balance, congestion, unavailability, or outage of the underlying blockchain network, or deviation of the relevant Stablecoin’s value from its intended peg. See Section 13 for related liability provisions.
4.4 Funds Availability. Funds added by wire transfer or ACH transfer will be available in your Account on the business day they are received. Funds added by direct deposit will be available consistent with applicable law. Funds added by FedNow or other instant payment network transfer will be available as described in Exhibit D. Funds from a Stablecoin Sale will be available in your Account promptly after the sale settles.
4.5 No Compulsory Direct Deposit. You may not be required to establish an Account with any particular financial institution as a condition of employment or receipt of a government benefit. Consistent with 12 C.F.R. § 1005.10(e)(2), your employer or a government agency may require direct deposit of salary or benefits by electronic means, but may not require that the deposit be made to a particular institution.
4.6 Funding Limits. We may impose limits or restrictions on the amount, number, frequency, or type of funding transactions. If we change the limit, or otherwise impose a stricter limitation on the frequency or dollar amount of your funding transactions, we will give you at least 21 days’ advance written notice, as required by 12 C.F.R. § 1005.8(a) — except that we may impose a limit immediately, and notify you afterward, where necessary to maintain or restore the security of your Account or the Program, as permitted by 12 C.F.R. § 1005.8(a)(2). We may raise a limit at any time without prior notice.
4.7 Returned, Reversed, and Recalled Credits. If a credit to your Account is later returned, reversed, recalled, dishonored, or otherwise not finally settled, including an ACH return or reversal, a wire recall, an FedNow request for return of funds, or a direct deposit reversed by the originator, you authorize us to debit your Account for the amount of that credit, plus any related third-party fee, without prior notice to you. We may do so even if you have already spent or transferred the funds, in which case Section 8.2 (Negative Balance) applies. If the credit funded a Stablecoin Purchase, the resulting negative balance is your obligation, and neither Bank nor Program Manager has any right or ability to recover Stablecoins from your self-custody Wallet.
4.8 Sanctions and Legal Holds. We may delay, reject, block, freeze, or refuse to process any funding transaction or outbound transfer in order to comply with applicable sanctions laws administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”) or other applicable law. Funds that are blocked under sanctions laws may be required to be held in a blocked account and may not be returned to you or released to any other person unless and until authorized by OFAC. We may be prohibited by law from telling you the reason for any such action.
4.9 Fees for Funding. Bank does not charge you a fee for funding your Account. You should consult with your Platform Provider or Program Manager to determine any fees that may be associated with transactions that are related or incidental to your use of the Account, including Stablecoin Sales. See Section 9.
Section 5 — Transfers Out of Your Account
5.1 Outbound Transfer Methods. Subject to the limits in this Agreement and to Platform Provider’s enablement of the relevant feature, you may transfer funds out of your Account by:
(a) ACH transfer to an external account you own or are authorized to use;
(b) Wire transfer to an account you designate;
(c) FedNow or other instant payment network transfer; and
(d) Stablecoin Purchase, as described in Section 5.3.
Platform Provider determines which of the foregoing methods are available to you. Not all methods are available to all accountholders.
5.2 Authorization; Cutoff Times. You authorize us to debit your Account for the amount of each outbound transfer you initiate, plus any applicable third-party fee. Transfer instructions received after the applicable cutoff time, or on a day that is not a business day, will be processed on the next business day, except that transfers sent over an instant payment network that operates continuously may be processed on any day.
Once you authorize an outbound transfer, you may not cancel or amend it, except as expressly provided Section 5.7 (International Transfers), or as otherwise required by applicable law.
5.3 Stablecoin Purchases. You may instruct LSP to use Fiat Currency from your Account to purchase Stablecoins on your behalf and deliver them to your Wallet (a “Stablecoin Purchase”). INITIATING A STABLECOIN PURCHASE CONSTITUTES YOUR EXPRESS AND IRREVOCABLE CONSENT TO THE DEBIT OF YOUR ACCOUNT AND THE PURCHASE OF STABLECOINS ON YOUR BEHALF. Section 4.3 applies equally to Stablecoin Purchases.
5.4 Accuracy of Transfer Instructions. You are responsible for the accuracy of the information you provide, including the recipient’s account number, routing number, wallet address, and name. Transfers are generally processed based on the account number, routing number, or wallet address you supply, even if it identifies a person or account different from the one you named. Transfers to an incorrect destination may be irreversible, and we may be unable to recover the funds. Blockchain transactions in particular cannot be reversed.
5.5 Insufficient Funds. If your Account balance is insufficient to cover an outbound transfer, the transfer will be declined. Bank does not offer overdraft services in connection with your Account.
5.6 Transfer Limits. We may impose further limits or restrictions on the amount, number, frequency, or type of transfers. If we lower a limit, or otherwise impose a stricter limitation on the frequency or dollar amount of your transfers, we will give you at least 21 days’ advance written notice, as required by 12 C.F.R. § 1005.8(a) — except that we may impose a limit immediately, and notify you afterward, where necessary to maintain or restore the security of your Account or the Program, as permitted by 12 C.F.R. § 1005.8(a)(2). We may raise a limit at any time without prior notice.
5.7 International Transfers. If you send an outbound transfer to a recipient located in a foreign country, that transfer may be a “remittance transfer” under Regulation E, in which case you have additional rights, including the right to receive prepayment and receipt disclosures, the right to cancel the transfer within 30 minutes of payment and receive a refund, and a longer period to report errors. Those rights are provided by law and are not limited by Section 5.2.
5.8 Uses Not Permitted. You may not write checks against your Account. You may not enable third parties to make ACH debits from your Account. You may not use your Account for any illegal transaction, or for any transaction prohibited by Platform Provider’s Terms of Service, the Grid Terms, or applicable sanctions laws.
Section 6 — Preauthorized Transfers
6.1 Preauthorized Credits. If you have arranged to have direct deposits made to your Account at least once every 60 days from the same person or company, you can call us at 855-516-0103 or check the Anytime Capital app to find out whether or not the deposit has been made.
6.2 Preauthorized Debits. Your Account does not support preauthorized electronic fund transfers out of your Account, that is, transfers you authorize in advance to recur at substantially regular intervals. Because this feature is not offered, the stop-payment rights and related disclosures required by 12 C.F.R. §§ 1005.10(c) and 1005.7(b)(7) do not apply to outbound transfers.
This Section 6.2 concerns transfers out of your Account. If you have a Card, recurring payments you authorize a merchant to charge to your Card are addressed in Section 6.4 of the Card Supplement, and you have the right to stop those payments.
Section 7 — Accessing Your Account; Balance and Transaction Information
7.1 Platform Provider determines how you access your Account, including through the Platform app and any credentials, biometrics, or authentication methods it makes available. You are responsible for safeguarding your credentials and for all transactions you authorize.
7.2 Checking Your Balance. You may obtain information about the amount of money you have remaining in your prepaid account by calling 855-516-0103. This information, along with a 12-month history of account transactions, will be sent to you upon request when you email us at support@lightsparkpayments.com. If your account is registered with us, You also have the right to obtain at least 24 months of written history of account transactions by calling 855-516-0103, or by writing us at 8605 Santa Monica Blvd, PMB 64461, West Hollywood, CA 90069, United States. You will not be charged a fee for this information.
7.3 Receipts. You may obtain a receipt at the time you make a transaction at a terminal, where applicable.
Section 8 — Suspension; Fraud Prevention
8.1 Fraud Prevention. We may block, suspend, or close your Account at any time, with or without notice, if we reasonably believe fraudulent, suspicious, or criminal activity is occurring, or activity inconsistent with this Agreement. We incur no liability for unavailability of funds resulting from such action.
8.2 Negative Balance. If a negative balance occurs in your Account, you agree to promptly pay the amount owed. If not cured within ten (10) days, we may close your Account and pursue collection. Because your Wallet is a self-custody wallet over which neither Bank nor Program Manager has signing authority, neither Bank nor Program Manager has any right to initiate a transfer from your Wallet without your independent authorization.
Section 9 — Fee Schedule
9.1 No Account Fees. Neither Bank nor Program Manager charges you any fee for opening, maintaining, or closing your Account. You should consult with your Platform Provider to determine any fees that may be associated with transactions that are related or incidental to your use of the Account, including Stablecoin Sales and Stablecoin Purchases.
9.2 Platform Provider Fees. Platform Provider may charge you fees for its own services in connection with the Account. These fees are Platform Provider’s own fees, payable by you to Platform Provider. Neither Bank nor Program Manager charges, sets, collects, or receives any share of these fees. Platform Provider will disclose these fees to you directly in its Terms of Service or a separate fee schedule.
Program Manager and Platform Provider have a separate commercial agreement under which Platform Provider pays Program Manager for services. Program Manager’s compensation under that agreement is not determined by, and does not vary with, the fees Platform Provider charges you.
9.3 Network and Third-Party Fees. Certain fees may still apply that are imposed by parties other than Bank or Program Manager, including wire transfer fees imposed by intermediary or beneficiary banks, fees relating to blockchain networks, and fees imposed by a receiving institution, if any.
9.4 No Overdraft or Credit Fees. Bank does not offer overdraft services or a credit feature in connection with your Account, and no related fees apply.
9.5 Card Fees. If you obtain a Card, additional fees may apply as described in the Card Supplement.
9.6 Exhibit A is the long-form fee disclosure and lists all fees that may be imposed in connection with your Account. Additional balance and limit disclosures appear in Exhibits B and C, and instant payment terms appear in Exhibit D.
Section 10 — Initial Disclosure of Terms and Conditions
10.1 Introduction. This Section 10 is Bank’s initial disclosure of the terms and conditions of the electronic fund transfer services available in connection with your Account, provided to you before your first transfer, as required by Regulation E, 12 C.F.R. § 1005.7 and, because your Account is a prepaid account, 12 C.F.R. § 1005.18(f)(1). The provisions of 12 C.F.R. § 1005.18 applicable to prepaid accounts also apply to your Account. This Section 10 identifies where each required disclosure appears.
10.2 Your Liability for Unauthorized Transfers. Tell us AT ONCE if you believe your Account credentials have been lost, stolen, or compromised, or that a transfer was made without your permission. Your liability for an unauthorized transfer is limited as described in Section 12.1.
10.3 Contacting Us. To report an unauthorized transfer, compromised credentials, or an error, call us at 855-516-0103, email support@lightsparkpayments.com, or write to us at 8605 Santa Monica Blvd, PMB 64461, West Hollywood, CA 90069, United States.
10.4 Our Business Days. Bank’s business days are any day other than a Saturday, a Sunday, or a day on which banking institutions in Kansas City, Missouri are authorized or obligated by law or executive order to be closed.
10.5 Types of Transfers and Limitations. You can fund your Account by wire, ACH, FedNow, direct deposit, and Stablecoin Sale, as described in Section 4. You can transfer funds out of your Account by ACH, wire, FedNow, and Stablecoin Purchase, as described in Section 5, subject to Platform Provider’s enablement of each method. Applicable limits are described in Sections 4.6 and 5.6, and, for instant payments, in Exhibit D, and we may impose further limits on the amount, number, frequency, or type of transactions.
10.6 Fees. All fees that may be imposed in connection with your Account are listed in Exhibit A. Neither Bank nor Program Manager charges you a fee for opening, maintaining, or using your Account, as described in Exhibit A and Section 9.1. Platform Provider may charge its own fees, as described in Section 9.2, and other fees may apply as described in Sections 9.3, 9.4, and 9.5.
10.7 Right to Receipts and Periodic Statements. Described in Section 7.
10.8 Preauthorized Transfers. Described in Section 6.
10.9 Our Liability for Failure to Complete Transfers. A summary of Bank’s liability for failing to make or stop certain transfers is set forth in Section 13.
10.10 Disclosure of Account Information. The circumstances under which we may disclose information about you or your transfers to third parties are described in Section 15.
10.11 Error Resolution Notice. Your rights and our procedures for resolving errors are described in Section 12, including the annual error resolution notice required by Regulation E.
10.12 FDIC Insurance. See Sections 3.3 and 3.4 for important information about the FDIC-insurance status of your Account balance and the separate treatment of your Wallet and Stablecoin balance.
Section 11 — Communications with You
11.1 We may provide notices via mail, email, SMS (if opted in), in-app posting, push notification, or other reasonable means permitted by law. By using the Account, you consent to receive Account-related communications electronically, with the same legal effect as written, signed communications.
Section 12 — Unauthorized Transfers and Error Resolution
12.1 Your Liability for Unauthorized Transfers. Tell us AT ONCE if you believe your Account credentials have been lost or stolen, or if you believe that an electronic fund transfer has been made from your Account without your permission. Telephoning is the best way of keeping your possible losses down. You could lose all the money in your Account.
If you tell us within 2 business days after you learn of the loss or theft of your Account credentials, you can lose no more than $50 if someone used your Account credentials without your permission.
If you do NOT tell us within 2 business days after you learn of the loss or theft of your Account credentials, and we can prove we could have stopped someone from using your Account credentials without your permission if you had told us, you could lose as much as $500.
Also, if your account history shows transfers that you did not make, tell us at once. You must tell us no later than 60 days after the earlier of the date you electronically access your Account, if the transfer could be viewed in your electronic history, or the date we sent the FIRST written history on which the transfer appeared. If you do not tell us within that time, you may not get back any money you lost after that period if we can prove that we could have stopped someone from taking the money if you had told us in time. If a good reason (such as a long trip or a hospital stay) kept you from telling us, we will extend the time periods.
To report an unauthorized transfer, call us at 855-516-0103, email support@lightsparkpayments.com, or write to us at 8605 Santa Monica Blvd, PMB 64461, West Hollywood, CA 90069, United States.
If you have a Card, see Section 6.3 of the Card Supplement for the liability that applies to unauthorized Card transactions.
The protections in this Section 12.1 apply only after we have successfully completed our identity verification of you. See Section 12.4.
12.2 Errors and Questions about your Prepaid Account
In Case of Errors or Questions About Your Prepaid Account
Telephone us at 855-516-0103 or Write us at 8605 Santa Monica Blvd, PMB 64461, West Hollywood, CA 90069 or email us at support@lightsparkpayments.com as soon as you can, if you think an error has occurred in your prepaid account. We must allow you to report an error until 60 days after the earlier of the date you electronically access your account, if the error could be viewed in your electronic history, or the date we sent the FIRST written history on which the error appeared. You may request a written history of your transactions at any time by calling us at 855-516-0103 or writing us at 8605 Santa Monica Blvd, PMB 64461, West Hollywood, CA 90069.
You will need to tell us:
- Your name and Account number.
- Why you believe there is an error, and the dollar amount involved.
- Approximately when the error took place.
If you tell us orally, we may require that you send us your complaint or question in writing within 10 business days.
We will determine whether an error occurred within 10 business days after we hear from you and will correct any error promptly. If we need more time, however, we may take up to 45 days to investigate your complaint or question. If we decide to do this, and your account is registered with us, we will credit your account within 10 business days for the amount you think is in error, so that you will have the money during the time it takes us to complete our investigation. If we ask you to put your complaint or question in writing and we do not receive it within 10 business days, we may not credit your account. Keep reading to learn more about how to register your account..
For errors involving new accounts, point-of-sale, or foreign-initiated transactions, we may take up to 90 days to investigate your complaint or question. For new accounts, we may take up to 20 business days to credit your account for the amount you think is in error.
We will tell you the results within three business days after completing our investigation. If we decide that there was no error, we will send you a written explanation.
You may ask for copies of the documents that we used in our investigation.
If you need more information about our error-resolution procedures, call us at the telephone number shown above.
12.3 Wire Transfers. Outbound wire transfers may be subject to Article 4A of the Uniform Commercial Code. Instant payments sent or received over FedNow are electronic fund transfers and are covered by Sections 12.1and 12.2. Those rights are provided by law.
12.4 Verification Required. It is important to register your prepaid account as soon as possible. Until you register your account and we verify your identity, we are not required to research or resolve any errors regarding your account. To register your account, please email us at support@lightsparkpayments.com or call us at 855-516-0103. We will ask you for identifying information about yourself (including your full name, address, date of birth, and government-issued identification number), so that we can verify your identity.
The limited-liability and error-resolution protections in Sections 12.1 through 12.3 apply only to unauthorized transfers and errors occurring after we have successfully completed our identity verification of you, and we are not required to provide those protections for any period before your identity has been successfully verified. If we cannot verify your identity, or if you do not complete verification, you will not receive these protections, and any funds in your Account will be at greater risk in the event of unauthorized use.
Section 13 — Our Liability for Failure to Make Transfers
13.1 If we do not complete a transfer to or from your Account on time or in the correct amount, we are liable for your losses, except for the following: insufficient funds through no fault of ours, access blocked after you reported compromise; legal process; reasonable suspicion of unauthorized activity; or other exceptions permitted by law.
Section 14 — Closing Your Account
14.1 You may close your Account by contacting Platform Provider. You remain liable for obligations arising before closure. Any remaining Fiat Currency balance will be returned to your Wallet via a Stablecoin Purchase or, at your election and where supported, transferred to an external account you designate, except that we may decline to return a balance under $1.00, to the extent permissible under applicable law. You may not close your Account while under investigation, subject to a pending dispute, in debt to us, or subject to a hold or legal restriction.
14.2 Effect on Card. Closing your Account automatically and immediately terminates any Card issued to you and the Card Supplement. Cancelling your Card does not close your Account. See Section 12 of the Card Supplement.
14.3 Inactivity and Unclaimed Property. If your Account remains inactive for the period specified by the unclaimed property law of your state of residence, we may be required to remit your balance to that state. We will attempt to notify you before doing so at the contact information we have on file. If your balance is remitted to the state, you may be able to reclaim it from the state, and you should contact the state’s unclaimed property administrator.
14.4 Death or Incapacity. If we receive notice that you have died or been declared legally incompetent, we may place a hold on your Account, decline transactions, and refuse to release funds until we receive documentation satisfactory to us establishing the authority of your personal representative, executor, or guardian. Because your Wallet is a self-custody wallet, neither Bank nor Program Manager can access, transfer, or recover any Stablecoin balance held in your Wallet under any circumstances, including your death. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND TO YOU REGARDING THE ACCOUNTS, ANY FEATURE THEREOF, OR ANY SUBJECT MATTER COVERED BY THE SUBSTANCE OF THIS AGREEMENT, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS. WE MAKE NO WARRANTIES OR REPRESENTATIONS THAT THE ACCOUNTS WILL MEET YOUR REQUIREMENTS OR THAT USE OF THE ACCOUNTS WILL BE UNINTERRUPTED OR ERROR-FREE. WE WILL NOT BE RESPONSIBLE FOR ANY SERVICE INTERRUPTIONS, INCLUDING, BUT NOT LIMITED TO, POWER OUTAGES, SYSTEM FAILURES OR OTHER INTERRUPTIONS THAT MAY AFFECT THE RECEIPT, PROCESSING, ACCEPTANCE, COMPLETION OR SETTLEMENT OF TRANSACTIONS OR USE OF THE ACCOUNTS.

Section 21 — Arbitration and Dispute Resolution Agreement
IT IS IMPORTANT THAT YOU READ THIS ARBITRATION AND DISPUTE RESOLUTION AGREEMENT CAREFULLY. IT PROVIDES THAT YOU MAY BE REQUIRED TO SETTLE A CLAIM OR DISPUTE THROUGH ARBITRATION, EVEN IF YOU PREFER TO LITIGATE SUCH CLAIMS IN COURT. BY ACCEPTING THE AGREEMENT, YOU ACKNOWLEDGE AND AGREE TO BE BOUND BY THIS ARBITRATION AND DISPUTE RESOLUTION AGREEMENT AND THAT YOU ARE WAIVING RIGHTS YOU MAY HAVE TO LITIGATE ANY CLAIM OR DISPUTE IN A COURT OR BEFORE A JURY, TO PARTICIPATE IN A CLASS ACTION IN COURT, TO CLASS ARBITRATION, OR OTHER REPRESENTATIVE ACTION WITH RESPECT TO SUCH CLAIMS AND DISPUTES. IF YOU DO NOT UNDERSTAND ANY OF THE TERMS OR PROVISIONS OF THIS ARBITRATION AND DISPUTE RESOLUTION AGREEMENT, INCLUDING ADVANTAGES OR DISADVANTAGES OF ARBITRATION, THEN YOU SHOULD SEEK INDEPENDENT LEGAL ADVICE BEFORE ACCEPTING THIS AGREEMENT.
21.1 This Arbitration and Dispute Resolution Agreement describes how a Dispute (as defined below) may be arbitrated. Arbitration is a method of resolving disputes in front of one or more neutral persons, instead of having a trial in court in front of a judge and/or jury. In this Arbitration and Dispute Resolution Agreement, “We” and “Us” mean the Bank and/or the Bank’s assignee or its employees, assignees, or any third party providing any goods or services in connection with the origination, servicing and collection of amounts due under the Agreement, including the Program Manager and Platform Provider, if such third party is named as a party between You and Us. “You” and “Your” means the person(s) who have applied for and been approved for the Account, and any person authorized to use a Card issued on the Account. (This definition applies solely within this Section 21 for purposes of the arbitration provisions and does not modify the party definitions in the Preamble.)
21.2 What “Disputes” are Subject to Arbitration? Unless otherwise stated in this Arbitration and Dispute Resolution Agreement, any “Dispute” between You and Us shall, at the election of You, Us, or our respective heirs, successors, assignees or related third parties (together, the “Parties”), be resolved by neutral, binding arbitration, and not by a court of law. This procedure includes any Dispute over the interpretation, scope, or validity of this Agreement, the Card Supplement, the Arbitration and Dispute Resolution Agreement or the arbitrability of any issue, with the sole exception of the Parties’ waiver of any right to bring a class action or to participate in a class action as provided for below, which shall be solely determined by the appropriate court, if necessary.
21.3 In this Arbitration and Dispute Resolution Agreement, the word “Dispute” has the broadest possible meaning. “Dispute” means any action, dispute, claim, or controversy of any kind arising out of, in connection with or in any way related, even indirectly, to the Agreement or the Card Supplement. Accordingly, and by way of example only, “Dispute” includes claims related to: Your application; information You have provided to Us; information and disclosures We have provided to You; any prior agreements between You and Us; extensions; renewals; refinancings; payment plans; servicing; collections; privacy; and customer information. The term “Dispute” also includes, without limitation: claims under federal or state consumer protection laws; claims in tort or contract; claims under statutes or common law; claims at law or in equity; other past, present or future claims, counterclaims, cross-claims, third party claims, interpleaders or otherwise; and any claim relating to the interpretation, applicability, enforceability or formation of this Arbitration and Dispute Resolution Agreement, including, but not limited to, any claim that all or any part of this Arbitration and Dispute Resolution Agreement, is void, voidable or unconscionable, or that any party has waived his, her, or its right to seek arbitration of a Dispute under this Arbitration and Dispute Resolution Agreement.
21.4 Notwithstanding the foregoing, “Dispute” does not include any individual action brought by You in small claims court or Your state’s equivalent court, unless such action is transferred, removed or appealed to a different court.
21.5 What Rules and Procedures Apply? Either You or We may require any Dispute to be arbitrated and may do so before or after a lawsuit has been started over the Dispute or with respect to other Disputes, counterclaims, or third-party claims brought later in the lawsuit. If You or We elect to arbitrate a Dispute, this Arbitration and Dispute Resolution Agreement applies. A Dispute shall be fully resolved by binding arbitration. Judgment on the arbitration award may be entered in any court with jurisdiction. All statutes of limitation that otherwise would apply to an action brought in court will apply in arbitration. The arbitrator must decide Disputes based on the substantive law of Missouri, or, if required by applicable law, where the controversy arose, including statutes of limitation and evidentiary privileges, and the arbitrator may hear dispositive motions. The arbitrator is authorized to award all remedies permitted by the substantive law that would apply if the action were pending in court, including, without limitation, punitive damages (which shall be governed by the Constitutional standards employed by the courts) and attorneys’ fees and costs.
21.6 It is expressly agreed that this Agreement evidences a transaction in interstate commerce. Any arbitration shall be governed by and conducted under: (a) the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq. (“FAA”) and not by any state arbitration law; (b) the consumer arbitration rules (“Arbitration Rules”) of the American Arbitration Association (“AAA”) (the “Arbitration Administrator”) in effect at the time arbitration is requested at the election of the Party filing for Arbitration; and (c) this Arbitration and Dispute Resolution Agreement. A copy of the Arbitration Rules may be obtained, free of charge, from the AAA, on the internet at www.adr.org, or by calling 1-800-778-7879. If the terms of this Arbitration and Dispute Resolution Agreement and the Arbitration Rules conflict, the terms of this Arbitration and Dispute Resolution Agreement shall control to the extent of the conflict. The arbitrator shall have all powers provided by the Arbitration Rules and this Arbitration and Dispute Resolution Agreement.
21.7 If AAA is unable or unwilling to serve, and You and We cannot otherwise agree on a substitute administrator or arbitrator, then a court with appropriate jurisdiction shall appoint an arbitrator. We will consider any good faith request You make to Us to pay the Arbitration Administrator’s or arbitrator’s filing, administrative, hearing and/or other fees if You cannot obtain a waiver of such fees from the Arbitration Administrator and We will not seek or accept reimbursement of any such fees. We will bear the expense of our attorneys, experts and witnesses, except where applicable law and this Agreement allow Us to recover attorneys’ fees and/or court costs in a collection action We bring. You will bear the expense of Your attorneys, experts and witnesses if We prevail in an arbitration. However, in an arbitration You commence, We will pay Your fees if You prevail or if We must bear such fees in order for this Arbitration and Dispute Resolution Agreement to be enforced. Also, We will bear any fees if applicable law requires Us to.
21.8 The arbitrator may decide that an in-person hearing is unnecessary and that he or she can resolve the Dispute based on the papers submitted by You or Us and/or through a virtual or telephonic hearing. However, any arbitration hearing that You attend will take place either telephonically or at a location that is reasonably convenient to You. Notice of the time, date and location shall be provided to You and Us in accordance with AAA’s rules and procedures.
21.9 The arbitrator’s decision is final and binding, except for any right of appeal provided by the FAA, 9 U.S.C. §§ 1 et seq. However, if the amount of the Dispute exceeds $50,000 or involves a request for injunctive or declaratory relief that could foreseeably involve a cost or benefit to either party exceeding $50,000, any party can appeal the award to a three-arbitrator panel administered by the Arbitration Administrator, which panel shall reconsider any aspect of the initial award requested by the appealing party. The decision of the panel shall be by majority vote. Reference in this Arbitration and Dispute Resolution Agreement to “the arbitrator” shall mean the panel of arbitrators if an appeal of the arbitrator’s decision has been taken. The costs of such an appeal will be borne in accordance with the section of this Arbitration and Dispute Resolution Agreement that describes who will bear the costs for the initial proceeding before a single arbitrator.
21.10 Pre-Dispute Resolution Process. Before arbitration can begin, You must provide a written notice to Us via email at support@lightsparkpayments.com and include Your name, full account number, mailing address, telephone number, email address, and a description of Your Dispute that includes what relief you seek (“Notice”). The Notice must be signed by You personally, even if You are represented by an attorney. The Notice must address only Your Dispute and no other person’s Dispute. After We receive Your Notice, You and We shall attempt to resolve Your Dispute within 60 days of our receipt of Your Notice. This time period can be extended by agreement and is referred to as the “Pre-Arbitration Resolution Period”. Any applicable limitations period (including statute of limitations) will be tolled during the Pre-Arbitration Resolution Period. Engaging in this Pre-Arbitration Resolution process is a requirement that must be fulfilled before commencing arbitration. AAA does not have authority to administer or adjudicate the Dispute unless and until all Pre-Arbitration Resolution requirements have been met.
21.11 Your Right to Reject. If You do not want this Arbitration and Dispute Resolution Agreement to apply, You may reject it by mailing Us at 8605 Santa Monica Blvd, PMB 64461, West Hollywood, CA 90069, United States a written rejection notice that describes the Agreement and tells Us that You are rejecting this Arbitration Clause. A rejection notice is only effective if it is signed by You and the envelope that the rejection notice is sent in has a post mark of 30 days or less after the date of this Agreement. If You reject this Arbitration and Dispute Resolution Agreement, that will not affect any other provision of this Agreement or the status of Your Agreement, and will not affect Your ability to open an Account or obtain a Card. If You do not reject this Arbitration and Dispute Resolution Agreement, it will be effective as of the date of this Agreement.
Your rejection right runs from the date of this Agreement. Accepting the Card Supplement at a later date does not create a new or additional rejection period.
21.12 Class Action Waiver. If You or We elect to arbitrate a Dispute, (a) neither You nor We may participate in a class action in court or in a class-wide arbitration, either as a plaintiff, defendant or class member; (b) neither You nor We may act as a private attorney general in court or in arbitration; (c) Disputes brought by or against You may not be joined or consolidated with Disputes brought by or against any other person; and (d) the arbitrator shall have no power or authority to conduct a class-wide arbitration, private attorney general arbitration or joined or consolidated arbitration (this sentence including subparts (a) through (d) hereof is referred to in this Arbitration and Dispute Resolution Agreement as the “Class Action Waiver”). This Arbitration and Dispute Resolution Agreement governs Disputes between You and Us. It does not amend, supersede, or override any arbitration agreement between You and any other person, including the arbitration agreement in the Grid Terms.
21.13 Jury Waiver. You and We hereby expressly and irrevocably waive any right to a trial by judge or jury of any Dispute covered by this Arbitration and Dispute Resolution Agreement. This waiver will remain enforceable even if any portion of this Arbitration and Dispute Resolution Agreement is otherwise found to be unenforceable. The Parties agree that this waiver is made knowingly, willingly, and voluntarily.
21.14 Severability. If it is determined that any paragraph or provision in this Arbitration and Dispute Resolution Agreement is illegal, invalid, or unenforceable, such illegality, invalidity or unenforceability shall not affect the other paragraphs and provisions of this Arbitration and Dispute Resolution Agreement. The remainder of this Arbitration and Dispute Resolution Agreement shall continue in full force and effect as if the severed paragraph or provision had not been included. Notwithstanding this severability provision, if a court of competent jurisdiction determines that the Class Action Waiver is void, illegal, invalid, or unenforceable, the Parties agree that the Class Action Waiver shall not be severed and this Arbitration and Dispute Resolution Agreement shall be void in its entirety.
21.15 Survivability. This Arbitration and Dispute Resolution Agreement will survive and continue in full force and effect notwithstanding cancellation, termination, amendment, payment in full, discharge in bankruptcy, or other expiration or conclusion of the Agreement, the Card Supplement, or any other contract or transaction between the Parties, unless otherwise agreed in writing. In addition, You understand and acknowledge that the rights and responsibilities afforded to Us under this Arbitration and Dispute Resolution Agreement survive any assignment of the Agreement by Us and that We can enforce this Arbitration and Dispute Resolution Agreement in the event a Dispute arises after the assignment of the Agreement.
21.16 Public Injunctive Relief. If the Class Action Waiver in Section 21.12 is found unenforceable because it would prevent You from seeking public injunctive relief, then the claim for public injunctive relief, and only that claim, will be severed from arbitration and may be brought in a court of competent jurisdiction. All other Disputes remain subject to arbitration under this Arbitration and Dispute Resolution Agreement, and Section 21.14 does not apply to a severance under this Section 21.16.
Section 22 — Miscellaneous
22.1 Assignment. You may not assign your Account or your obligations under this Agreement. However, we may transfer our rights under this Agreement to a third party.
22.2 Compliance with Laws and Network Rules. Use of your Account is subject to all applicable laws and rules and customs of any clearinghouse or other network or association involved in your transactions.
22.3 Account Issued under U.S. Law. For the avoidance of doubt, your Account is being established by a U.S. domiciled financial institution under U.S. law and Bank does not participate in any direct marketing outside of the United States.
22.4 No Waiver. We do not waive our rights by delaying or failing to exercise them at any time.
22.5 Survival. All provisions of this Agreement which by their nature extend beyond the termination of this Agreement, including, without limitation, sections related to suspension and arbitration, shall survive the termination or expiration of this Agreement.
22.6 Choice of Law & Venue. This Agreement will be governed by the laws of the State of Missouri except to the extent governed by federal law, and the venue for any disputes shall be Jackson County, Missouri.
22.7 Severability. If any provision of this Agreement is determined to be invalid or unenforceable under any rule, law or regulation of any governmental agency, local, state, or federal, the validity or enforceability of any other provision of this Agreement shall not be affected.
22.8 Privity. This Agreement is intended solely for the benefit of you and Bank and is not intended to confer any rights or place any obligations on any other person or entity, including but not limited to the Program Manager and/or the Platform Provider.
22.9 Entire Agreement. This Agreement, together with the Card Supplement (if accepted by you) and any other terms and conditions, policies, appendices, or agreements referenced herein, constitutes the entire agreement between the parties concerning the Account and governs your use of the Account, subject to the Grid Terms and any Platform Provider Terms of Service, which continue to govern their respective subject matter as described in the Preamble.
22.10 Relationship to Other Agreements; Order of Precedence.
(a) Subject-Matter Allocation. The Bank Agreements and the Grid Terms govern different subjects:
| Subject | Governed by |
|---|---|
| Your Account, the Fiat Currency balance held by Bank, and all credits to and debits from your Account | The Bank Agreements |
| Your Card and all Card transactions | The Bank Agreements |
| Your Wallet, any digital asset balance, and the custody, transfer, sale, or purchase of digital assets | The Grid Terms |
Within its allocated subject, each agreement controls in full. Neither agreement’s “entire agreement” provision (including Section 22.9 of this Agreement) operates to displace the other with respect to the other’s allocated subject.
(b) Mandatory Law Floor. Nothing in the Grid Terms, the Platform Terms, or any agreement between you and any other person limits, waives, or reduces any right you have under this Agreement or under applicable law that cannot lawfully be waived, including your rights under the Electronic Fund Transfer Act and Regulation E. Where any other agreement purports to reduce such a right with respect to a transaction governed by the Bank Agreements, this Agreement controls and that right applies in full. This subsection (b) prevails over any contrary provision of this Agreement, including Section 22.9.
(c) No Third-Party Enlargement. This Section 22.10 allocates precedence among agreements. It does not make Bank a party to the Grid Terms or the Platform Terms, does not make LSP or Platform Provider a party to this Agreement, and does not enlarge Bank’s obligations beyond those stated in the Bank Agreements.

Exhibit D — Instant Payment Addendum
This Exhibit is part of the Lead Bank Consumer Prepaid Accountholder Agreement
1. Instant Payments via FedNow
1.1 What instant payments are
FedNow® is a real-time payment service operated by the Federal Reserve Banks that allows you to send and receive instant credit transfers in U.S. dollars 24 hours a day, 7 days a week, including nights, weekends, and holidays. Instant payments are available through prepaid accounts held at Lead Bank (“Lead,” “we,” “us”).
You should understand the following before using instant payments:
- Payments are routed by number, not by name. Instant payments are routed and posted based on the account number and routing number you provide. The recipient name you enter is not used to validate the payment and is not matched against the name on the receiving account. If you enter an incorrect account or routing number, your payment may be delivered to the wrong person.
- Payments are final. Once an instant payment is accepted and posted to the receiving account, it is final and cannot be reversed, canceled, or recalled through the FedNow Service.
- Payments move at any hour. Instant payments may be sent and received at any time, including outside of business days and banking hours.
- Instant payments are domestic and credit-only. The FedNow Service supports U.S. dollar payments between participating U.S. financial institutions. It cannot be used to pull or debit funds from another party’s account.
1.2 Sending an instant payment
When you submit an instant payment, you authorize us to transfer the amount you specify from your account to the account you identify. You are responsible for the accuracy of the payment details you provide, including the recipient’s account number and routing number.
Because instant payments are final once accepted, we cannot guarantee recovery of a payment sent in error, to the wrong recipient, or as a result of a scam. If you tell us a payment was sent in error or without your authorization, we may submit a request for return of funds to the receiving institution. A request for return of funds is a best-effort request only. The receiving institution is not obligated to return the funds, and return depends on the cooperation of the receiving institution and its customer. Receiving institutions are generally expected to respond to a return request by midnight of the next business day, though a response may take up to ten business days where the request involves suspected fraud, error, or unauthorized activity requiring investigation.
Before an instant payment is accepted, we may decline it, hold it for review, or limit your use of instant payments, where we believe the payment may be fraudulent, unauthorized, unlawful, or inconsistent with our risk, sanctions, or compliance policies, or where required by applicable law. Once a payment has been accepted and posted, it cannot be reversed through the FedNow Service.
Limits. Your ability to send instant payments is subject to limits on total outflow per calendar day and per rolling 30-day period, and may also be subject to a maximum amount for any single payment. These limits are set in connection with your account program and are based on factors including your account activity and risk profile. Your current limits are available in the Anytime Capital app.
If we lower a limit, or otherwise impose a stricter limitation on the frequency or dollar amount of your transactions, we will give you at least 21 days’ advance written notice, as required by 12 C.F.R. § 1005.8(a) — except that we may impose a limit immediately, and notify you afterward, where necessary to maintain or restore the security of your Account or the Program, as permitted by 12 C.F.R. § 1005.8(a)(2). We may raise a limit at any time without prior notice.
1.3 Receiving instant payments and funds availability
When we receive an instant payment to your account and accept it for posting, we will generally make the funds available in your account immediately, 24 hours a day, 7 days a week, including weekends and holidays. We do not apply routine or multi-day holds to instant payment credits.
In limited circumstances, we may delay availability of instant payment funds, for example, where we believe a transaction may be fraudulent, unauthorized, or otherwise requires additional review to comply with applicable law or our risk policies. If we delay availability, we will place a hold on the funds and will notify you. We will restore availability once our review is complete, or return the payment if we determine it cannot be posted.
These availability rules are more favorable to you than our standard funds-availability policy. If, because of an error or exception (for example, a closed or invalid account), we cannot automatically post an instant payment to your account, our general funds-availability policy and error-resolution procedures will apply to that transaction instead. See the funds availability disclosure at Exhibit B above.
1.4 Use of instant payment transaction data
We process certain payment transactions using the FedNow Service. In connection with those transactions, transaction records and related information, including payment details, account and routing numbers, payment identifiers, timestamps, and amounts, may be used and disclosed by Lead and by the Federal Reserve Banks for purposes of operating, maintaining, and improving the FedNow Service. This includes any related directory services, routing, screening, risk, compliance, and fraud-prevention services that support the FedNow Service.
By using instant payments, you authorize us to share and disclose instant payment transaction information as necessary for these purposes, consistent with our Privacy Policy and applicable law.
1.5 Fraud monitoring and data sharing
To help protect you, other customers, and the financial system from fraud and abuse, we may collect, use, and retain fraud-related information about instant payment activity. This may include device and network information, behavioral and transactional patterns, internal risk scores and flags, and investigation and case-management notes.
We may use this information to detect, investigate, and prevent fraud, security incidents, and misuse of your account. We may share fraud-related data with our service providers, the Federal Reserve Banks, and other financial institutions involved in a transaction, where reasonably necessary for these purposes or as required by law. Our collection, use, retention, and sharing of this information is described further in our Privacy Policy.
1.6 Fees for instant payments
Fees for sending and receiving instant payments, if any, are listed in Exhibit A. Any such fee will be shown to you in the payment flow before you confirm a transaction. We will not charge an instant payment fee that was not disclosed to you before you confirmed the payment.
1.7 Errors and unauthorized transactions
If you believe an instant payment to or from your account was unauthorized or made in error, contact us immediately by calling 855-516-0103 or emailing support@lightsparkpayments.com.
If you are a consumer, your rights with respect to unauthorized electronic fund transfers are described in our Electronic Fund Transfer disclosure at Section 12 of the Accountholder agreement. Prompt notice matters: because instant payments are final once accepted, our ability to help recover funds decreases significantly with time.
